TERMS

1. Auction Company
This real estate auction is conducted by Landproz of Indiana, LLC (“Auction Company”).

2. Bidding Format
All bidding will be on a total dollar basis, unless otherwise indicated by the Auctioneer during the auction.

3. Acreage and Survey Adjustments
The property is being sold based on deeded acres, which are subject to change due to survey results or other factors. In the event of such change, the total sales price will be adjusted accordingly.

·         If the property is sold in individual tracts and a survey is required, the Seller will cover the cost of the survey.

·         A Landproz representative may place a marker flag where the boundary lines should be. This is not a final survey and is for viewing purposes only. The final survey points are subject to change prior to closing and any changes will be reflected in the final purchase agreement.

4. Closing Details

·         Closing will take place at:
Seymour Abstract & Title - 218 West Second Street Seymour, Indiana

·         Closing will occur on or about December 4, 2025.

·         Seller will provide a standard Owner's Title Insurance Policy at Seller’s expense.

·         Buyer and Seller will split the Closing Fee equally.

·         2025 Real estate taxes will be prorated to the date of closing.

·         3% buyer’s premium will be added to the final purchase price at Closing.

5. Deposit and Payment Terms

·         A 10% (non-refundable) earnest money deposit is due on each tract the day of the auction.

·         The balance of the purchase price is due at closing.

6. Bidder Eligibility and Conduct

·         The Seller and Auction Company reserve the right to accept or reject any and all bids at their sole discretion.

·         The Auction Company and Seller reserve the right to preclude any person from bidding if there is any concern regarding that person’s credentials, qualifications, or ability to enter into a binding contract.

7. Contingencies

·         The sale is not contingent upon Buyer’s ability to obtain financing, conduct an inspection, complete an appraisal, or fulfill any other conditions.

·         All property is sold “AS IS, WHERE IS” with no warranties or guarantees expressed or implied.

8. Announcements

·         Any announcements made on the day of the auction by the Auctioneer will take precedence over any previously published or advertised material.
